Terms of Service

1. Agreement
These terms govern services provided by TIAM TECHNOLOGIES LIMITED. A signed quotation or contract takes precedence where the two differ.
2. Scope and changes
Work is delivered against the scope in the accepted quotation. Changes to scope are quoted separately before they are carried out. We do not carry out unquoted work and then bill for it.
3. Payment
Project work is invoiced 50% on acceptance and 50% on delivery unless the quotation states otherwise. Hosting and domain services are invoiced annually in advance. Invoices are payable within 14 days.
4. Ownership
On full payment, ownership of the delivered source code, design files and content passes to the client. Domains and hosting accounts are registered in the client's name. Third-party libraries remain under their own licences.
5. Client responsibilities
The client provides content, feedback and approvals within agreed timeframes. Delays in these move delivery dates by the same amount.
6. Support and warranty
We correct defects in delivered work free of charge for 90 days after handover. This does not cover changes in requirements, third-party service failures, or issues caused by modifications made by others.
7. Hosting terms
Hosting carries a 99.9% uptime commitment measured monthly, excluding scheduled maintenance notified in advance. Accounts used for illegal content, spam or resource abuse may be suspended.
8. Domains
Domain registrations are subject to the rules of the relevant registry. Renewal is the client's responsibility; we send reminders 60, 30 and 7 days before expiry.
9. Confidentiality
Each party keeps the other's non-public information confidential. We will not use client data for anything other than delivering the agreed services.
10. Liability
Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss.
11. Termination
Either party may terminate with 30 days written notice. Work completed up to termination is payable. On termination we hand over all deliverables paid for.
12. Governing law
These terms are governed by the laws of the Republic of Uganda.
